You'll need to zip the database (done through phpmyadmin) or dump the mssql database (through Enterprise Manager). Then zip hte files.
When restoring, you'lll need to reset a few file permissions, (probably), recreate a blank database and upload. But that'll be all.
You'll also need to change the NameServer entries on your domain and make sure you move mail. There could be a small risk of a lost mail (i.e. mail stll going to your old account) withing a few hours of the move. So target a tiem when you'll unlikely to get much mail, or set it up sop mail going to your old server gets forwarded to a third party somewhere (e.g hotmail, gmail). That's it really. No big drama.
